QWORK CONTRACT AGREEMENT  

  1. General 

In consideration for the mutual benefits exchanged by the Qwork (the “Company”) and the undersigned (“You”, the “Member”, collectively the “Parties”), the Parties hereby  agree, warrant, consent and covenant to the following terms, conditions and representations:  

  1. Behaviour 

The Member agrees to conduct him or herself according to the policies, rules & regulations that the Company implements from time to time regarding personal behaviour in the  co-working space located at 3f The Garden Walk, 105 Felix Avenue, Brgy. Sto. Domingo, Cainta, Rizal. At the Company’s sole discretion, your membership at the Qwork may be  terminated for behaviour that violates any such policies.  

  1. Membership Details 

Details of member’s subscription attached to this agreement as Annex A.  

  1. No Tenancy 

The Company provides coworking services on an “as is” basis as a service and not as a lease of real property, and disclaim all warranties and conditions, whether express, implied  or statutory, including, but not limited to, merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, to the extent permitted by law.  You hereby understand, agree and warrant that you are not a tenant and the Company is not a landlord and there is no tenancy relationship whatsoever as defined in any case  law or legislation, rules, or regulations promulgated by the Republic of the Philippines or otherwise.  

  1. No Residency 

The Qwork is a commercial facility. Using the location or your membership for the purpose of establishing a personal residence is not permitted. You hereby understand, agree  and warrant that you are not a residential tenant at the Co-Working Space.  

  1. Termination 

You agree not to use the Qwork for any purpose that is unlawful, prohibited, or that could damage, disable or impair the property of the Company or of other members, or prevents  other members from enjoying the Qwork, or that would damage the reputation or business of the Company.  

You also agree not to use the Qwork in connection with:  

(a) Lottery contests, pyramid schemes, chain letters, junk email, spamming or similar behaviour;  

(b) Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others;  

(c) Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information;  

(d) Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected  by intellectual property laws where you don’t own or license such rights; and  

(e) Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of the Qwork or another  member.  

(f) Any kind of solicitation, vulgar selling that may cause an interruption of Qwork everyday operation. (Networking is allowed in Qwork for as long as you make it in professional  way).  

(g) This Agreement may be terminated forthwith in the event of any breach of the obligations on the part of the Member. Qwork shall be entitled (but not obliged) to  retain any personal effects or other belongings of the Member until all arrears owed to Qwork have been paid or other loss made good.  

(h) Qwork has the right to to terminate this agreement if there is inappropriate activity or incident caused by the Member.  

If the Member terminates its subscription, the Member must return all keys (if any) and other means of access to Qwork, cease to use Qwork’s address on all of its  company documents, business registration, and marketing materials. In the event the Member has lost any keys or access cards to Qwork, the subscriber must pay  the replacement fee of such lost items.  

  1. No Refund Policy  

All membership fees are non-refundable and non-cancellable. Memberships cannot be terminated or refunded before the end of the agreed-upon term. No refunds will be issued  for unused days or services within a billing cycle. We reserve the right to modify this policy at any time.  

  1. Changes 

The rules and policies of the Qwork may change from time to time. We will notify members of material changes.  

  1. Non-Disclosure 

In your presence at the Qwork, you may learn of confidential information of the Company or of its members. Such confidential information may include business information,  trade secrets, technology, processes, customers and prospects that are intended to be confidential and proprietary. You hereby agree and consent to not disclose information  that you obtain that was intended to remain confidential.  

  1. Repairs and Maintenance 

The Qwork shall maintain the establishment in good repair and working order. If you notice any problems requiring repair, please notify the Company and it shall be remedied  promptly.  

  1. I have read, understood and agree to abide by Qwork’s House Rules and Policies at all times.  
  2. I agree to the inclusions and exclusions of my membership or subscription found in Annex A.

THE subscriber/ member shall not:  

  1. Conduct himself/herself in an unprofessional and irresponsible manner or act in any way that cause nuisance, annoyance or injury to the other  Members/users of Qwork Coworking Space.  
  2. Occupy space for commercial display, product display, storage, lodging, sleeping or for immoral or illegal purposes.  
  3. Leave personal belongings unattended. Qwork is not responsible for any loss or damage of personal belongings. Unattended personal belongings might  be removed by on-duty Qwork team members.  
  4. Impede or interfere with the Qwork’s right of possession, control of the facility and operations.  
  5. Use of the space/facility otherwise than for the Member’s business and in any event shall not permit the office space, plan inclusions or services provided  to be used for any illegal activity.  
  6. Alter, install, remove nor damage any furniture, fixtures, decorative materials, office equipment, IT cabling and telecommunications tools from within  Qwork’s Coworking Space, allocated desks, dedicated workspaces and common areas, in which the Members have had access. Qwork shall have the  right to claim compensation from the Member for repairs, replacement, loss or damages.  

MEMBERS shall:  

  1. Observe and adhere to all the rules and regulations updated from time to time made by Qwork for the management of the workspace.  b. Agree that Qwork’s Coworking Space, allocated desks and dedicated workspaces are under 24-hour CCTV surveillance. Qwork will only provide CCTV  footage based on the request of local law enforcer, complying to local enforcement law.  
  2. Be liable for any damage caused by the Member or by those in Qwork with the Member’s permission or at the Member’s invitation, whether express or  implied including but not limited to all the Member’s employees, contractors, agents or other persons present at Qwork Coworking Space. In the event  of such damage, Qwork shall be entitled to take all steps necessary to rectify the same.  

  

  1. Liability 

You hereby waive and hold harmless the Company, its members, officers, directors, shareholders, contractors and employees from any claims, liability, actions, or suits with  respect to any damages, injuries or losses you suffer to your person or property, whatsoever, including as a result of negligence or gross negligence on the part of the employee ,  including but not limited to any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for lost profits,  loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence,  and any other loss) arising out of or in any way related to the Company’s services or otherwise.  

  1. General  

This agreement may not be assigned without the prior written consent of the Company. The laws of the Republic of the Philippines shall govern the terms of this agreement any  disputes between the Parties. The Parties hereby attorn to the courts in the Republic of the Philippines. In the event that a provision in this agreement is determined to be invalid  or unenforceable, the remaining provisions of this agreement shall be unaffected and shall remain in full force and effect.

ANNEX A  

Qwork Coworking Space is either a shared lounge or shared office space in a collaborative work environment. Workspaces are available on a first-come,  first-serve basis.  

Qwork Coworking Space shall provide the Member with the subscribed Service Plans (“Plan Inclusions”) specified:  

ACCESS PASS – an hourly, daily, half day, weekly and monthly plan that entitles the Member to access specified area in the Coworking Space facility  with a unique passcode connectivity for a maximum of two devices.  

VOUCHER – a specific wifi connectivity that will be provided according to the availed period on services of Qwork.  

DEDICATED DESK – a daily, weekly and monthly plan that entitles the member to use a reserved desk within Qwork Coworking Space at the allotted  facility with unique Wi-Fi connectivity for maximum of two (2) devices. This plan specifies a reserved seating and assigned personal file cabinet with lock.  Coverage of this plan has the access in printing and photocopying (80 B & W and 30 colored pages) as modified in the menu of services, a tap card  registration, a two (2) hour use of Phonebooth per month***, one (1) hour use of Interview Room per month*** and one (1) Guest Pass allowed in the  facility for a minimum of 15 minutes.  

COWORKING SEAT – a daily, half day, weekly and monthly plan that entitles the member to use the facility for a SHARED WORKSPACE. Access to  coworking space area within Qwork’s operational hours. The vacant shared space offers an access to a tap card registration in the facility, access to use  lounge area, pantry and restrooms, unlimited self-service coffee and water, an access for printing and photocopying for the lock-in plans including the  (40 B&W, 15 Colored) pages, a unique Wi-Fi access passcode that will be assigned accordingly to the inclusion of plan. (daily, half day, weekly, and  monthly)  

PRIVATE/SEMI-PRIVATE ROOMS – a monthly plan that entitles the Member shared workspace access to a vacant private semi-private room office  within Qwork’s operational hours. The vacant office will either be selected by the Member via our website, social media bookings, walk-ins – subject to  availability, or assigned by a Qwork Staff upon Member check-in. Wi-Fi connectivity is granted for two devices only during recognized daily operating  hours. Each plan allows two (2) Guest Pass visit per month for the maximum of 15 minutes**, inclusions of the plan are the following: access to lounge  area during Qwork’s operating hours, mail handling and front desk support, provisions of locker for the lock-in period of six (6) months, twelve (12)  months, and twenty (24) months  

MEETING ROOMS/PHONEBOOTH. An hourly, half day and daily plan that entitles the subscriber/ user an access to Qwork Lounge, Pantry and  Restroom, a free use of projector and white screen***, security in network and workplace, biometric tap card registration, access to printing and  photocopying services, and a unique high-speed wi-fi connectivity to maximum of two (2) devices per persons.  

EVENT AREA. An hourly and prepay hour service that can be booked by 30 pax*** with available tables and chairs, a  use of speakers and microphone***, use of projector and white screen***, access to pantry and restrooms, available  self-service water and coffee, access to printing and photocopying services.  

VIRTUAL OFFICE/VIRTUAL OFFICE PLUS. A monthly subscription plan that offers to use Qwork’s address as official documentation for mail  handling. Use of Qwork’s address as a professional BUSINESS ADDRESS for the entire duration of contract.

Service plans are subject to the following CONDITIONS:  

  1. SUBSCRIPTIONS are for designated users only and non-transferrable and cannot be shared by any third party.  b. COWORKING SPACE usage is only limited to the subscribed user only.  
  2. ACCESS TO OTHER COWORKING SPACES (Lounges) is allowed only during operating hours for all relevantly subscribed plan users.  Use of the coworking space outside of entitlements will be charged at adhoc rates stated in services price guide.  
  3. Qwork’s reserves the right to provide alternative facilities should any coworking space be not available and the right to impose charges on  the usage of non-subscribed services.  
  4. The following additional business services are available in accordance with Qwork’s published rates updated from time to time. It is clarified  that these services are available to members on an optional basis and may subject to additional charges:  

-printing, scanning and photocopying  

-car parking  

-office supplies  

-other services  

SIGN UP AND BILLING.  

  1. For all Coworking Plans, Qwork reserves the right to require the client to submit the required points of Identification (“the documentation”)  and reserves the right at its absolute discretion to terminate the plan if the documentation is not received.  
  2. Qwork’s reserves the right to request FULL PAYMENT and SECURITY DEPOSIT. The security deposit shall not deem as an advanced  payment. All Qwork’s services is billed always on its first use or entry. Members agrees that all Qwork Services is non-transferrable and  non-refundable.

  5. Half Day- Full payment  
  6. Daily- Full payment  
  7. Weekly- Full payment  
  8. Co-working seats can be booked at long term:  
  9. Monthly – full payment is required upon reservation. (applies to all)  
  10. 3 Months lock-in – full payment required.  
  11. 6 Months lock-in – full payment required.  
  12. 12 Months lock-in – full payment required.  
  13. Dedicated Seats can be booked DAILY, WEEKLY and MONTHLY 
  14. Daily– full payment is required upon reservation. (applies to all)  
  15. Weekly – full payment is required.  
  16. Monthly – full payment is required.  
  17. 3 Months lock-in – full payment required.  
  18. 6 Months lock-in – full payment required.  
  19. 12 Months lock-in – full payment required.  
  20. Private and Semi-Private Room Areas can be booked at long term:

  44. Where relevant members who select to pay invoices by credit card irrevocably authorizes Qwork, on the invoice due date to deduct from  the Member’s credit card the PLAN FEEP plus any relevant taxes.

  1. Members who select to pay by cheque or bank transfer shall for the duration of this Agreement pay by the due date on the Invoice the Plan  Fee payable in advance and all Services billed in arrears.  
  2. Payment is due in 24 hours from the invoice issue date. In the event that the member fails to settle the amount due Qwork shall be entitled  to:  
  3. Suspend/Cancel the booking services.  
  4. Non-issuance of access in Qwork’s facility including the inclusions of the services provided in the Qwork’s service plan.  GENERAL  
  5. This Agreement is personal and is not assignable.  
  6. All notices must be in writing or email. Notices either party will be considered served if mailed by registered post or by email to the addresses  or emails specified overleaf.  
  7. The invalidity or unenforceability of any provision of this Agreement shall not affect or impair the validity of any other provision. No waiver of  any default of the Member shall be implied from any failure by Qwork to take action with respect to such default.  
  8. This Agreement supersedes any prior agreements and embodies the entire Agreement between the customer/subscriber and Qwork and  may not be modified, changed or altered in any way except as agreed by both parties in writing. This Agreement shall be interpreted and  enforced in accordance with the national and local laws in which the workspace is located.  
  9. Membership is non-transferrable to other parties or individuals, without the express permission of Qwork.
